Terms of Service

These Terms of Service ("Terms") govern your use of the TechKloud website and the AI marketing services we provide (the "Services"). By using our website or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. About us

TechKloud provides AI-powered marketing solutions, including AI agent generation, AI optimization, global marketing strategy, data analytics and insights, targeted campaign management, and growth acceleration services.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract to use the Services. If you use the Services on behalf of a business, you confirm that you have authority to bind that business to these Terms.

3. Engagements and proposals

Specific work is described in a proposal, quote, statement of work, or order ("Agreement") agreed between you and TechKloud. Each Agreement forms part of these Terms. If an Agreement conflicts with these Terms, the Agreement controls for that project.

4. Fees and payment

• Fees are set out in your Agreement or invoice. Unless stated otherwise, fees are in US dollars and exclude taxes.
• Invoices are due on the date shown. We may pause work on overdue accounts until payment is received.
• Advertising spend on third-party platforms (such as Meta or Google) is separate from our fees and is paid by you unless the Agreement says otherwise.
• Recurring services renew automatically for the period in your Agreement unless cancelled as described there.
• Refunds are covered by our Refund Policy.

5. Your responsibilities

• Provide accurate information, timely feedback, and the access and materials we need to deliver the Services.
• Make sure you have the rights to all content, trademarks, data, and materials you give us.
• Comply with all laws that apply to your business and marketing, including advertising, consumer protection, spam, and data protection laws.
• Comply with the policies of third-party platforms used for your campaigns.
• Keep your account credentials secure.

6. Acceptable use

You may not use the Services to:

• Promote illegal products or services, or break any law.
• Send spam or unsolicited messages in violation of law.
• Create misleading, deceptive, defamatory, or harmful content.
• Infringe the intellectual property or privacy rights of others.
• Interfere with, hack, or disrupt our website or systems.

We may refuse or stop work that we reasonably believe breaks these rules.

7. AI-generated output

Our Services use artificial intelligence. AI output can contain errors, may be similar to content created for others, and should be reviewed before use. You are responsible for reviewing and approving content before it is published or used, and for how you use it.

8. Intellectual property

• Your materials: you keep ownership of content and data you provide to us. You give us a license to use them only to deliver the Services.
• Deliverables: once you have paid in full, you own the final deliverables created specifically for you, unless the Agreement says otherwise.
• Our tools: TechKloud keeps all rights in its pre-existing know-how, templates, frameworks, software, AI agents, and processes. Where these are part of a deliverable, you receive a non-exclusive license to use them for your business.
• Website content: the content, branding, and design of this website belong to TechKloud and may not be copied without permission.

9. Third-party services

The Services may rely on third-party platforms and tools. We are not responsible for their availability, policy changes, account restrictions, or actions. Changes to third-party platforms may affect results.

10. Confidentiality

Each party will keep the other's confidential information private and use it only to perform or receive the Services, except where disclosure is required by law.

11. No guarantee of results

We work hard to improve your marketing performance, but results depend on many factors outside our control, including market conditions, your offer, budgets, and third-party platforms. We do not guarantee specific results such as revenue, leads, rankings, or return on ad spend. See our Disclaimer.

12. Disclaimer of warranties

Except as expressly stated in an Agreement, the Services and website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent allowed by law, TechKloud will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our total liability for any claim relating to the Services is limited to the fees you paid to us for the Services giving rise to the claim in the three months before the claim.

14. Indemnity

You agree to indemnify and hold TechKloud harmless from claims, losses, and expenses arising from your materials, your products or services, your breach of these Terms, or your violation of any law or third-party rights.

15. Termination

Either party may end an engagement as set out in the Agreement. We may suspend or end the Services immediately if you seriously breach these Terms. On termination, you must pay for work completed and costs incurred up to the termination date.

16. Governing law

These Terms are governed by the laws of Pakistan. Any disputes will be handled by the courts of Lahore, Pakistan, unless the parties agree to another method of resolution in writing.

17. Changes to these Terms

We may update these Terms from time to time. The updated version applies from the "Last updated" date shown above. Continuing to use the Services after changes means you accept the updated Terms.
